Terms of Service

By accessing or using the FluxNote platform at https://fluxnote.io, including any associated mobile applications, APIs, or services (collectively, the “Service”), you (“User” or “you”) agree to be legally bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional guidelines or policies referenced herein.

If you do not agree to these Terms, you must immediately stop using the Service. These Terms constitute a legally binding agreement between you and FluxNote(“we”, “us”, or “our”).

By creating an account, initiating a subscription, or otherwise using the Service, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and that your use of the Service does not violate any applicable laws or regulations in your jurisdiction.

FluxNote is an AI-powered video generation platform that enables users to create short-form and long-form videos automatically using artificial intelligence. The Service includes, but is not limited to:

• AI-driven video scripting, narration, and voiceover generation
• Automated assembly of stock footage, images, and visual overlays
• Customizable caption styles, motion effects, and visual themes
• Video editing tools including timeline editing, scene management, and export functionality
• Cloud-based rendering and storage of generated video projects
• Access to a library of music tracks, overlays, and media assets for use within the platform

The Service is provided on a subscription basis. Features and usage limits vary depending on the subscription plan selected.FluxNote reserves the right to modify, update, or discontinue features of the Service at any time with reasonable notice to active subscribers.

To access most features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Keep your password confidential and not share it with any third party
• Accept full responsibility for all activities that occur under your account
• Notify us immediately at support@fluxnote.io if you suspect any unauthorized use of your account

You may not create more than one account per person or organization without our prior written consent. Accounts created through automated means or for the purpose of circumventing usage limits are strictly prohibited and will be terminated.

FluxNote reserves the right to suspend or terminate accounts that violate these Terms, contain false or misleading information, or are otherwise used in a manner that we determine, in our sole discretion, to be harmful to the Service or other users.

FluxNote offers subscription-based access to the Service. The following billing terms apply to all paid plans:

4.1 Subscription Plans

We offer monthly and annual subscription plans. The features, usage credits, and pricing associated with each plan are described on our Pricing page. Plan details are subject to change with prior notice to existing subscribers.

4.2 Billing & Payment

• All fees are charged in Indian Rupees (INR) unless otherwise stated. International payments may be subject to currency conversion by your payment provider.
• Payment is processed via secure third-party payment processors (including Razorpay). We do not store your full payment card details on our servers.
• Your subscription begins on the date of your first payment and renews automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date.
• You authorize FluxNote to charge your payment method on file at the start of each billing period for the applicable subscription fee.

4.3 Auto-Renewal

All subscriptions auto-renew automatically unless you cancel before the renewal date. For monthly plans, renewal occurs every 30 days. For annual plans, renewal occurs every 365 days. You will receive a reminder notification before your annual subscription renews. It is your responsibility to cancel your subscription before the renewal date if you do not wish to be charged for the next billing period.

4.4 Failed Payments

If a payment fails, we may attempt to re-charge your payment method. If payment remains outstanding, your account may be downgraded to the free tier or suspended until payment is received. You are responsible for ensuring your payment information is current and valid.

4.5 Taxes

All prices listed are inclusive of applicable Goods and Services Tax (GST) unless explicitly stated otherwise. Users outside India may be subject to additional taxes or duties imposed by their local jurisdiction, for which they are solely responsible.

5.1 Cancellation

You may cancel your subscription at any time by navigating to Account Settings → Billing → Cancel Subscription within the FluxNote dashboard. Cancellation takes effect at the end of your current billing period. You will retain full access to your plan’s features until the period ends — your account is not suspended immediately upon cancellation.

5.2 Monthly Plans — No Refunds

Monthly subscription fees are non-refundable once charged. We do not provide refunds or credits for partial months of service, unused video credits, or unused features. If you cancel a monthly plan, you retain access to the Service until the end of the current billing month, after which your subscription will not renew.

5.3 Annual Plans — Pro-Rated Refund Window

For annual subscription purchases, the following refund policy applies:

• Within 7 days of purchase: You are eligible for a pro-rated refund calculated based on the number of unused full months remaining in your annual subscription. The refund will be processed within 7–10 business days to your original payment method.
• After 7 days of purchase: No refund will be issued. However, your subscription will remain active and you will retain full access to all plan features through the end of your paid annual period.
• To request a refund within the 7-day window, email us at support@fluxnote.io with your account email, order ID, and reason for cancellation.

5.4 Exceptions & Special Circumstances

Refunds outside of the above policy may be considered on a case-by-case basis at FluxNote’s sole discretion in cases of:

• Verified technical failures on our part that rendered the Service entirely unusable for an extended period
• Duplicate charges due to a payment processing error
• Charges made in error, supported by documentation

Refunds will not be granted for: change of mind, failure to cancel before auto-renewal, dissatisfaction with AI-generated output quality, or third-party service interruptions (e.g., internet outages, device issues).

5.5 Account Termination for Policy Violation

If your account is terminated by FluxNote due to a violation of these Terms or the Acceptable Use Policy, you will not be entitled to any refund for any unused portion of your subscription period.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service in any way that:

• Violates any applicable local, state, national, or international law or regulation, including laws of India
• Creates, distributes, or promotes content that is defamatory, obscene, pornographic, hateful, harassing, threatening, or violent
• Infringes or misappropriates the intellectual property rights of any third party, including copyright, trademark, or trade secrets
• Generates or disseminates disinformation, deepfakes, or content designed to deceive, mislead, or defraud others
• Attempts to gain unauthorized access to our systems, networks, or user data
• Uses automated tools, bots, scrapers, or scripts to access or extract data from the Service without our written permission
• Resells, sublicenses, or commercially exploits the Service or its outputs in a manner not permitted by your subscription plan
• Impersonates any person or entity, or misrepresents your affiliation with any person or entity
• Introduces malware, viruses, or any other harmful code into the Service

FluxNote reserves the right to investigate violations and to take appropriate action, including removing content, suspending or terminating your account, and cooperating with law enforcement authorities.

7.1 Our Intellectual Property

The Service, including all software, source code, algorithms, user interfaces, designs, text, graphics, logos, and trademarks, is owned by FluxNote and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service itself beyond the limited license to use the platform as described herein.

7.2 Your Content

You retain ownership of any original content you upload to the Service, including text prompts, scripts, images, audio files, and other input materials (“User Content”). By uploading User Content, you grant FluxNote a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing the Service to you. We do not use your private content to train our AI models without your explicit consent.

7.3 Third-Party Assets

The Service may incorporate third-party stock footage, music, images, and other media licensed from third-party providers. Your right to use such third-party assets within videos created on FluxNote is governed by the licensing terms of those providers. FluxNote makes no warranty that third-party assets are suitable for all commercial purposes. Review specific asset licensing before commercial distribution.

7.4 Feedback

If you provide FluxNote with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including improving the Service, without any obligation to compensate you.

FluxNote uses artificial intelligence to generate video content, scripts, voiceovers, and visual elements (collectively, “AI-Generated Content”). The following terms apply to AI-Generated Content:

• Ownership: You own the AI-Generated Content produced using your account on the FluxNote platform, subject to any third-party licensing restrictions on incorporated media assets and subject to your compliance with these Terms.
• No Guarantee of Uniqueness: AI models may generate similar or identical outputs for different users given similar inputs. We do not guarantee the uniqueness of any AI-Generated Content.
• Your Responsibility: You are solely responsible for reviewing AI-Generated Content before publishing or distributing it. FluxNote is not liable for inaccuracies, errors, or unintended implications in AI-Generated Content.
• No Endorsement: AI-Generated Content does not represent the views, opinions, or recommendations of FluxNote.
• Prohibited Use: AI-Generated Content must not be used to create or spread misinformation, deepfakes of real individuals without their consent, or content that violates the Acceptable Use Policy in Section 6.

To the maximum extent permitted by applicable law, FluxNote shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Service.

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

FluxNote does not warrant that:

• The Service will be uninterrupted, error-free, or free from viruses or other harmful components
• AI-Generated Content will be accurate, complete, or suitable for any particular purpose
• Any defects in the Service will be corrected within a specific timeframe

In no event shall FluxNote’s total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the total amount paid by you to FluxNote in the three (3) months immediately preceding the claim, or (b) INR 1,000 (Indian Rupees One Thousand).

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share information about you when you use the Service.

By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We encourage you to review the Privacy Policy carefully. If you do not agree to the Privacy Policy, you must stop using the Service immediately.

FluxNote reserves the right to modify these Terms at any time. When we make material changes, we will:

• Update the “Last Updated” date at the top of this page
• Send an email notification to the address associated with your account at least 7 days before the changes take effect (for material changes)
• Display a notice within the Service dashboard

Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Service before the effective date of the changes.

These Terms of Service and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms, including any disputes relating to the Service, payments, or refunds, shall first be attempted to be resolved through good-faith negotiation between the parties. If such negotiation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts located in India.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
